END USER LICENSE AGREEMENT

Terms governing your use of Pit Trader, PitBoss AI, and all related services.

1. Agreement to Terms

This End User License Agreement ("EULA" or "Agreement") is a binding legal contract between you ("User," "you," or "your") and The Prop Pit LLC ("The Prop Pit," "Company," "we," "us," or "our"), governing your access to and use of the Pit Trader platform, PitBoss AI assistant, the-prop-pit.com website, and all related software, tools, services, and content (collectively, the "Software").

By downloading, installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must immediately cease all use of the Software and delete all copies from your devices.

Important: This Agreement includes limitations of liability, disclaimers of warranties, an arbitration clause, and a class action waiver. Please read the entire Agreement carefully before using the Software.

2. License Grant

2.1 Limited License

Subject to your compliance with this Agreement, The Prop Pit grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on compatible devices solely for your personal, non-commercial use in connection with The Prop Pit's services.

2.2 Scope of License

This license permits you to:

  • Install and use the Pit Trader application on devices you own or control (desktop, mobile, and tablet).
  • Access and use PitBoss AI within the Pit Trader platform for chart analysis, trade review, indicator conversion, and trade execution assistance.
  • Use paper trading (simulation) features for practice and educational purposes.
  • Access funded and evaluation accounts as governed by your separate Trading Agreement.
  • Store and access your trading data, performance history, and platform settings within your account.

2.3 License Restrictions

You may not:

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software or any part thereof.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Distribute, sublicense, lease, rent, loan, sell, or otherwise transfer the Software or your account access to any third party.
  • Use the Software for any illegal purpose, or in violation of any local, state, national, or international law or regulation.
  • Use automated scripts, bots, scrapers, or similar tools to interact with the Software unless explicitly authorized in writing by The Prop Pit.
  • Attempt to gain unauthorized access to any portion of the Software, other users' accounts, or any systems or networks connected to the Software.
  • Interfere with or disrupt the integrity or performance of the Software, its servers, or associated networks.
  • Use the Software to develop competing products or services.
  • Share your account credentials with any other person or allow multiple individuals to use a single account.

3. Pit Trader Platform

3.1 Platform Description

Pit Trader is a proprietary multi-asset trading platform developed and owned by The Prop Pit. It includes charting tools, order entry systems, risk management features, market data displays, copy trading functionality, and integrated AI capabilities.

3.2 Market Data

Market data displayed within Pit Trader is sourced from third-party data providers. While we strive to provide accurate and timely data, we do not guarantee the accuracy, completeness, or timeliness of any market data. Market data is provided "as is" and may be subject to delays, interruptions, or errors. You should not rely solely on market data displayed in Pit Trader for making trading decisions.

3.3 Order Execution

All trading activity on The Prop Pit occurs in a simulated environment unless you are on a Straight to Live account with real capital. Simulated order execution is designed to approximate real market conditions but does not guarantee fills, prices, or execution speeds identical to live markets. Simulated trading results do not represent actual trading and should not be relied upon as indicative of future performance.

3.4 Copy Trading

The copy trading feature allows users to mirror trades from a designated leader account to follower accounts. The Prop Pit does not guarantee that copied trades will be executed at identical prices or that follower accounts will achieve the same results as leader accounts. You are solely responsible for any accounts you designate as followers and for the trading outcomes resulting from copy trading.

3.5 Platform Availability

We strive to maintain continuous availability of the Pit Trader platform but do not guarantee uninterrupted access. The platform may be temporarily unavailable due to scheduled maintenance, software updates, hardware failures, network disruptions, force majeure events, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled downtime.

4. PitBoss AI

4.1 AI Capabilities

PitBoss AI is an artificial intelligence assistant integrated into Pit Trader that provides chart analysis, trade history review, indicator code conversion, learning recommendations, and trade execution assistance. PitBoss is a tool designed to assist your trading decisions — it is not a financial advisor, investment advisor, or trading signal provider.

4.2 No Guarantee of Accuracy

PitBoss AI generates analysis, suggestions, and recommendations using machine learning models and algorithms. These outputs:

  • Are provided for informational and educational purposes only.
  • Are not guaranteed to be accurate, complete, or profitable.
  • Should not be interpreted as financial advice, investment recommendations, or trading signals.
  • May contain errors, omissions, or inaccuracies.
  • May not account for all relevant market conditions, news events, or risk factors.

You are solely responsible for all trading decisions. PitBoss AI is a tool to assist your analysis and learning. Any trades you execute — whether suggested by PitBoss or not — are entirely your responsibility. Past AI-generated analysis does not predict future results.

4.3 Indicator Conversion

PitBoss can convert indicator code from PineScript (TradingView), NinjaScript (NinjaTrader), and MQL4/MQL5 (MetaTrader) to Pit Trader format. Converted indicators are provided "as is" and may not perfectly replicate the behavior of the source indicator. You are responsible for verifying the accuracy and functionality of any converted indicator before using it in live or funded trading.

4.4 AI-Assisted Execution

PitBoss can place orders on your behalf when you provide explicit confirmation. By using this feature, you acknowledge that:

  • You retain full responsibility for any orders placed through PitBoss.
  • AI-assisted execution is subject to the same platform limitations as manual order entry.
  • Technical issues, latency, or AI errors may result in orders being executed at unexpected prices or not at all.
  • You can disable AI-assisted execution at any time through your account settings.

4.5 AI Data Usage

PitBoss processes your chart data and trading history to provide personalized analysis. Your individual trading data is not shared with other users and is not used to train AI models that serve other users. For full details, see our Privacy Policy.

5. Accounts & Access

5.1 Account Registration

To use the Software, you must create an account and provide accurate, current, and complete information. You agree to update your information promptly if it changes. Providing false, misleading, or fraudulent information is grounds for immediate account termination.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password and enable multi-factor authentication when available.
  • Not share your account credentials with any other person.
  • Notify us immediately at support@the-prop-pit.com if you suspect unauthorized access.
  • Accept responsibility for any activity conducted through your account, whether authorized by you or not.

5.3 Account Types

The Prop Pit offers multiple account types (Evaluation, Straight to Funded, Straight to Live) across multiple asset classes (Futures, Stocks, Crypto, All-In-One). Each account type is subject to specific rules, parameters, and pricing as defined in your Trading Agreement and the account documentation available on our website.

5.4 Account Termination

We reserve the right to suspend or terminate your account and access to the Software at any time, with or without notice, for any reason, including but not limited to:

  • Violation of this Agreement or any other The Prop Pit policy.
  • Fraudulent, abusive, or illegal activity.
  • Breach of trading rules associated with your account type.
  • Providing false or misleading information.
  • Non-payment of fees.
  • Extended period of inactivity (12+ months).

Upon termination, your license to use the Software immediately ceases. You must delete all copies of the Software from your devices. Provisions that by their nature should survive termination will remain in effect.

6. Simulated Trading Disclaimer

All trading on The Prop Pit is simulated unless explicitly stated otherwise. The Prop Pit provides simulated trading programs for educational and evaluation purposes. All activity occurs in a simulated environment using virtual funds. No real capital is at risk and no live market execution occurs except on designated Straight to Live accounts.

You acknowledge and agree that:

  • Simulated trading results do not represent actual trading and are not indicative of future performance.
  • Simulated environments may not accurately reflect real market conditions including slippage, partial fills, liquidity constraints, and market impact.
  • Hypothetical performance results have inherent limitations — they are designed with the benefit of hindsight and do not account for the financial risk of actual trading.
  • No representation is made that any account will or is likely to achieve profits or losses similar to those shown in simulated results.
  • CFTC Rule 4.41 applies to all hypothetical and simulated performance presented by The Prop Pit.

7. Intellectual Property

7.1 Ownership

The Software, including all code, design, graphics, user interfaces, logos, trademarks, trade names ("The Prop Pit," "Pit Trader," "PitBoss"), algorithms, databases, and content, are the exclusive property of The Prop Pit LLC or its licensors and are protected by United States and international intellectual property laws.

7.2 Trademarks

"The Prop Pit," "Pit Trader," "PitBoss," and associated logos and designs are trademarks or registered trademarks of The Prop Pit LLC. You may not use these marks without our prior written consent, except as necessary to refer to our services in a factual, non-misleading manner.

7.3 User Content

You retain ownership of any content you create or upload to the Software, including custom indicators, workspace layouts, and trading journal entries. By uploading content, you grant The Prop Pit a non-exclusive, worldwide, royalty-free license to store, process, and display that content solely for the purpose of providing the Software services to you.

7.4 Feedback

Any feedback, suggestions, or ideas you submit regarding the Software ("Feedback") become the property of The Prop Pit. We may use, modify, and incorporate Feedback into the Software without obligation or compensation to you.

8. Fees & Payments

Certain features of the Software require payment of fees, including evaluation account fees, funded account fees, and other charges as described on our website. By purchasing any service:

  • You agree to pay all applicable fees at the prices in effect at the time of purchase.
  • All fees are in United States Dollars (USD) unless otherwise specified.
  • Fees are non-refundable except as explicitly stated in our Cancellation Policy.
  • We reserve the right to change fees at any time. Price changes will not affect existing active accounts.
  • Failure to pay fees may result in suspension or termination of your access.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

THE PROP PIT DOES NOT WARRANT THAT:

  • The Software will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Software will be accurate, reliable, or complete.
  • Any errors in the Software will be corrected.
  • The Software will be compatible with all devices or operating systems.
  • Market data will be accurate, current, or complete.
  • PitBoss AI analysis or suggestions will be accurate or profitable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE PROP PIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.
  • THE PROP PIT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO THE PROP PIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
  • THE PROP PIT IS NOT LIABLE FOR ANY TRADING LOSSES, WHETHER ON SIMULATED OR LIVE ACCOUNTS, RESULTING FROM YOUR USE OF THE SOFTWARE, PIT TRADER, OR PITBOSS AI.
  • THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE PROP PIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Prop Pit LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Software.
  • Your violation of this Agreement.
  • Your violation of any applicable law or regulation.
  • Your trading activity and decisions.
  • Any content you upload or create within the Software.
  • Any dispute between you and any third party related to your use of the Software.

12. Dispute Resolution & Arbitration

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@the-prop-pit.com and attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be the State of Florida, United States.

12.3 Class Action Waiver

You agree to resolve disputes with The Prop Pit on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding against The Prop Pit. The arbitrator may not consolidate more than one person's claims.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. To the extent any legal action is permitted outside of arbitration, it shall be brought exclusively in the state or federal courts located in Florida.

14. Software Updates

The Prop Pit may release updates, upgrades, patches, or new versions of the Software from time to time. Updates may be installed automatically or may require manual action. By using the Software, you consent to receiving automatic updates. Continued use of the Software after an update constitutes your acceptance of the updated version. We are not obligated to provide updates, maintenance, or support for any prior version of the Software.

15. Third-Party Components

The Software may include third-party libraries, APIs, market data feeds, and other components subject to their own license terms. A list of significant third-party components and their licenses is available upon request. Your use of the Software constitutes your agreement to the applicable third-party terms. The Prop Pit is not responsible for the availability, accuracy, or functionality of third-party components.

16. Export Compliance

You agree not to export or re-export the Software in violation of any applicable export control laws or regulations of the United States or any other jurisdiction. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

17. Severability & Waiver

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The failure of The Prop Pit to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

18. Entire Agreement

This EULA, together with our Privacy Policy, Terms & Conditions, applicable Trading Agreement, and any other policies referenced herein, constitutes the entire agreement between you and The Prop Pit regarding the Software and supersedes all prior and contemporaneous agreements, proposals, and representations, whether written or oral.

19. Changes to This Agreement

We reserve the right to modify this Agreement at any time. When we make material changes:

  • We will update the "Last Updated" date at the top of this page.
  • We will notify you via email and/or an in-app notification at least 30 days before changes take effect.
  • Your continued use of the Software after the effective date constitutes acceptance of the modified terms.
  • If you do not agree to the modified terms, you must discontinue use of the Software and close your account.
